"This article explains what Alaskan State law demands from native corporations and then compares state law requisites with those of ANCSA. ANCSA sets up regional corporations and allows for village corporations. These regional corporations retained various powers over the village corporations. The article examines the state law duty of care and of loyalty and conflicts of interests, then examines their relationships to ANCSA. It describes three state law models: political, corporate, and trust, and advocates its corporate model I. The article further advocates revision of Alaska corporate law and suggests that some villages consder non-profit status."1
